These Important Service Conditions apply to services ordered from Qualistat through this website. By placing an order, the client confirms that they have reviewed and accepted these conditions, the applicable service description, the order details and any additional terms presented during checkout.
Important Service Conditions
Cancellation and Rescheduling Policy
Qualistat reserves personnel, equipment and appointment capacity when a service is scheduled. Clients may cancel or reschedule subject to the following conditions, unless different terms are shown during checkout or in the order confirmation:
- More than two business days’ notice:
No cancellation fee; however, non-refundable third-party expenses, committed travel costs and other costs already incurred remain payable.
- One to two business days’ notice:
A charge of up to 50% of the scheduled service fee may apply, plus committed travel and third-party costs.
- Less than one business day’s notice:
A charge of up to 100% of the scheduled service fee may apply, plus travel and other committed costs.
- No access, no-show or unprepared site:
Where the client does not provide access, required permissions, utilities, information or site readiness, the appointment may be treated as a late cancellation. Standby, travel and remobilization charges may also apply.
Important Service Conditions
1. Services Included
Qualistat will provide only the services and deliverables identified in the applicable service description and order confirmation.
Website content, sample reports, discussions, estimates and promotional materials are provided for general information and do not expand the agreed scope.
Investigations, repairs, remediation, design work, certifications, submissions, approvals or other services not expressly included in the order are excluded and may require a separate agreement and additional fees.
2. Pricing and Additional Charges
The price shown at checkout applies to the stated scope, assumptions, location, site conditions and information provided by the client.
Additional charges may apply where:
- the requested scope changes;
- information provided is incomplete or inaccurate;
- access or site conditions differ from those disclosed;
- additional travel, parking, permits, equipment, supplies or third-party services are required;
- after-hours work, standby time, remobilization or return visits are required; or
- additional investigation, testing or reporting is requested or reasonably required.
Qualistat will advise the client of material additional charges and obtain approval where required. Applicable taxes are additional.
3. Payment
Qualistat may require full payment, a deposit or a valid payment method before scheduling or beginning the service.
Qualistat may withhold scheduling, suspend work or delay issuing reports and other deliverables while amounts remain unpaid.
Overdue amounts will bear interest at 1.5% per month, compounded monthly, equivalent to 19.56% per annum, subject to applicable law.
4. Scheduling
Appointment times and anticipated completion dates are estimates unless expressly guaranteed in writing.
Qualistat may postpone or reschedule a service because of weather, unsafe conditions, access limitations, equipment or staffing availability, utility interruptions, third-party delays or other circumstances beyond its reasonable control.
Qualistat is not responsible for delays caused by circumstances beyond its reasonable control.
5. Cancellation and Rescheduling
Unless different conditions are shown during checkout or in the order confirmation:
More than two business days’ notice:
No cancellation fee will apply, but non-refundable travel, third-party and committed costs remain payable.
One to two business days’ notice:
A charge of up to 50% of the scheduled service fee may apply, together with committed travel and third-party costs.
Less than one business day’s notice:
A charge of up to 100% of the scheduled service fee may apply, together with committed travel and other costs.
A missed appointment, unavailable access or an unprepared site may be treated as a late cancellation. Standby, travel, remobilization and return-visit charges may also apply.
6. Client Information
The client must provide complete, accurate and current information required to perform the service.
Qualistat may rely on drawings, measurements, utility records, photographs, equipment information, reports and other information provided by the client or third parties without independently verifying that information.
Qualistat is not responsible for delays, additional costs, inaccurate conclusions or unreliable results caused by incomplete, inaccurate, outdated or withheld information.
7. Access and Site Readiness
The client is responsible for:
- obtaining required permissions and authorizations;
- providing safe, timely and unobstructed access;
- ensuring required utilities and systems are available;
- coordinating access with occupants, property managers and contractors;
- securing pets;
- protecting fragile, valuable or sensitive property; and
- ensuring that the property is reasonably prepared for the service.
Failure to provide proper access or site readiness may result in postponement, cancellation or additional charges.
8. Dangerous and Unsafe Conditions
The client is responsible for advising Qualistat, before the service begins, of any known or reasonably suspected dangerous situation, hazard or unsafe condition that Qualistat’s employees, contractors or representatives may be required to encounter or cope with while performing the service.
This includes, but is not limited to:
- hazardous or potentially hazardous materials;
- unsafe roofs, ladders, floors, structures or access routes;
- exposed electrical or mechanical hazards;
- confined spaces;
- contaminated areas;
- aggressive animals;
- active construction or industrial operations;
- combustion appliances;
- alarms or life-safety systems;
- known leaks;
- fragile materials or finishes; and
- sensitive equipment or systems.
Qualistat does not identify, test for, handle, remove or remediate hazardous materials unless expressly retained in writing to do so.
Qualistat personnel are not required to enter or remain in any situation they reasonably consider unsafe.
To the extent permitted by law, the client is responsible for losses, claims, damages, costs or expenses resulting from undisclosed dangerous conditions, unsafe site conditions, inaccurate information or failure to obtain required permissions.
9. Right to Refuse or Stop Work
Qualistat may refuse, postpone, suspend or stop work where:
- conditions are unsafe or inaccessible;
- the property is not prepared;
- required information, access, utilities, authorization or payment is unavailable;
- actual conditions differ materially from those disclosed;
- the requested work is outside the agreed scope or Qualistat’s professional competence;
- reliable results cannot reasonably be obtained; or
- performing the service may conflict with a law, code, standard, manufacturer instruction, program requirement, insurance requirement or professional obligation.
Any refund will be limited to unearned prepaid fees after deducting completed work, committed costs, applicable cancellation charges and non-recoverable expenses.
10. Service Limitations
Reviews, inspections, tests, calculations and professional opinions are limited to:
- the agreed scope;
- accessible areas;
- selected samples and test locations;
- information available at the time; and
- conditions existing when the service is performed.
Conditions may be concealed, intermittent or different in untested or inaccessible areas.
Visual, sampled and non-destructive services are not comprehensive investigations and do not establish that concealed defects, leakage, moisture, deterioration, code issues or other conditions do not exist.
Additional investigation may be recommended and is not included unless expressly stated.
11. Testing Procedures
Some services may involve pressure changes, temporary sealing, tape, hoses, water application, testing equipment or the temporary operation or shutdown of building systems.
The client must identify fragile materials, known leaks, combustion appliances, alarms, sensitive equipment and other conditions that could be affected.
Qualistat will exercise reasonable care but is not responsible for pre-existing damage, latent defects, defective materials, poor adhesion, fragile finishes or systems unable to withstand normal service procedures, except where liability cannot legally be excluded.
12. No Guaranteed Outcome
Qualistat does not guarantee:
- a passing test;
- certification, permit or regulatory approval;
- eligibility for a rebate, incentive, financing, insurance or warranty;
- specific energy savings or utility-cost reductions;
- a specific comfort level, payback period or service life; or
- defect-free operation or performance.
Government authorities, utilities, certification bodies, insurers and program administrators make their own decisions and may change their requirements.
13. Reports and Deliverables
Reports and other deliverables are prepared only for the client, property, project, purpose and conditions identified in the order.
No third party may rely on a report, certificate, assessment or opinion without Qualistat’s prior written consent.
Deliverables must not be altered, selectively quoted, separated from their qualifications or presented in a misleading manner.
Drafts, field notes, raw data, internal calculations, templates, software files and working papers are not deliverables unless expressly included.
14. Review and Corrections
The client must promptly review each deliverable and report any suspected error or inconsistency before relying on it for construction, purchasing, regulatory submissions, financing or legal purposes.
Qualistat must be given a reasonable opportunity to investigate and, where appropriate, correct or reperform the affected portion of the service.
The client is responsible for using the latest issued version.
15. Intellectual Property
Qualistat retains ownership of its methods, templates, calculations, report formats, processes, software configurations, training materials and other pre-existing intellectual property.
After full payment, the client may use the final deliverables only for the property, project and purpose identified in the order.
Deliverables may not be sold, republished, materially modified or used commercially by another party without Qualistat’s written consent.
16. Privacy and Project Records
Qualistat may collect photographs, thermal images, videos, measurements, scans, equipment readings and other records reasonably required to perform and document the service.
Personal and project information will be handled in accordance with Qualistat’s Privacy Policy and applicable law.
17. Liability
To the maximum extent permitted by law, Qualistat is not responsible for indirect, consequential, incidental, special or economic losses arising from the service, a delay or reliance on a deliverable.
To the fullest extent permitted by law, Qualistat’s total aggregate liability will not exceed the fees paid for the specific service giving rise to the claim.
Nothing in these conditions excludes a right or liability that cannot legally be excluded or limited.
18. Notice of Claims
The client must provide written notice of any alleged error, omission, deficiency or claim promptly after discovery and, in any event, within thirty days after discovery.
Qualistat must be given a reasonable opportunity to investigate the matter before corrective work is performed by another party.
19. Entire Agreement
The following documents form the agreement between Qualistat and the client:
- an accepted written change order;
- the order confirmation;
- the applicable service description and service-specific conditions;
- these Important Service Conditions; and
- Qualistat’s Full Service Terms and Conditions.
They apply in the order listed above if there is a conflict.
Terms contained in a client purchase order, procurement portal or other client document do not apply unless Qualistat expressly accepts them in writing.
20. Governing Law
These conditions and the services provided are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta.
Subject to applicable consumer protection laws, the parties submit to the jurisdiction of the courts of Alberta.
